Terms & Conditions and End User Licence Agreement

Last updated: 25 September 2026

1. Provider and scope

These terms govern the use of Open Sound Meter and the associated account and cloud services provided by:

Ehrenaudio GmbH
Subbelrather Straße 15a
50823 Cologne, Germany
Email: alex@opensoundmeter.com
Commercial register: Amtsgericht Köln, HRB 123226
Represented by Managing Director Aleksandra Smokotnina

They apply to consumers and business customers where incorporated into the agreement.

For purchases through Paddle, Paddle is the seller and handles payments, invoicing and applicable sales taxes. The Paddle Buyer Terms accepted during checkout also apply to your purchase. These licence and usage terms apply between you and Ehrenaudio.

Purchases through the Apple App Store are subject to the purchase and licence terms agreed there. These terms supplement them for the Open Sound Meter account and our cloud services.

2. Products and included features

The features included in your purchase are those described in the product offering when you enter into the agreement.

Community is the free desktop version for registered users.

Pro for desktop provides a perpetual licence to the purchased local Pro features for a one-time payment. One desktop licence covers Windows, macOS and Linux. Cloud services are not included.

Pro + Cloud is a subscription. During its term, it includes local Pro features and the cloud services described in the offering. You do not need to purchase Pro separately before subscribing.

The iPad app is purchased separately through the Apple App Store. Its local features remain available independently of a Pro + Cloud subscription. Neither Desktop Pro nor Pro + Cloud includes the purchase of the iPad app. An existing Pro + Cloud entitlement can be used on supported platforms through the same Open Sound Meter account.

Future features or extensions are included only where expressly stated in the offering.

3. Account, devices and offline use

You need an Open Sound Meter account to use account-based features. Your account information must be accurate. Keep your login credentials confidential and inform us if you suspect unauthorised access.

Desktop Pro and Pro + Cloud entitlements provided through your account are intended for one user on up to five activated devices at a time. Personal and professional use are permitted. You can deactivate devices in your account and replace them with other devices.

Installation and use of the separately purchased iPad app are governed by the licence and usage rules agreed through the App Store. Our account activation limit does not restrict those rights.

An internet connection is required for activation and to update your licence or subscription status. Cloud features require a connection to the server.

For a Pro + Cloud subscription, the application stores the most recently confirmed validity period. If a renewal cannot be verified because the device is offline, local subscription-based Pro features remain available for up to 14 days after the stored expiry date. After that, you must connect to the internet and sign in again to confirm your continuing entitlement. This does not extend the agreed term of a subscription that has been cancelled.

A separately purchased perpetual Desktop Pro licence is not subject to this subscription expiry check.

4. Licence rights

We grant you a non-exclusive right to use the software within the scope of the product you purchased or received free of charge. For Pro + Cloud, this right is limited to the subscription term and any applicable additional access period. A separately purchased perpetual Pro licence remains valid.

You may not copy, rent, sublicense or redistribute the software without authorisation. You may not circumvent licence or access controls without authorisation.

Activities permitted by applicable law remain permitted, including making backup copies, observing or studying the operation of the software, and lawful decompilation for interoperability. Mandatory statutory resale rights also remain unaffected.

Third-party components are subject to their respective licence terms. Versions of Open Sound Meter previously released under the GNU General Public License remain available for use under that licence. These terms do not change their licensing.

5. Orders and prices

The total price, selected product and, for subscriptions, billing interval displayed during checkout apply to your purchase. All applicable charges, including applicable taxes, are shown before you complete a paid order.

Paid entitlements are assigned to your account after purchase confirmation. The purchase contract is formed in accordance with the relevant seller’s terms. Registering an Open Sound Meter account does not itself create a payment obligation.

6. Subscriptions and cancellation

Pro + Cloud is billed monthly or annually and continues automatically unless cancelled. You can cancel automatic renewal before the next renewal date. Access generally continues until the end of the period already paid for.

For consumers in Germany, after the initial contract term the subscription continues for an indefinite period and can be cancelled at any time with no more than one month’s notice. Amounts already paid for the period after the effective termination date will be refunded proportionately through the relevant seller. Any additional mandatory consumer rights in other countries remain unaffected.

Paddle subscriptions can be cancelled through the Paddle customer portal or Paddle support. You may also send a cancellation notice for a Paddle subscription to alex@opensoundmeter.com, and we will arrange processing with Paddle. Other cancellation methods required by law remain available.

Subscriptions purchased through Apple are managed through Apple’s subscription settings.

Uninstalling the software does not cancel a subscription. Your right to terminate for good cause remains unaffected.

When Pro + Cloud ends, subscription-based features become unavailable. Time-limited read-only access to existing cloud logs remains available under section 8. If you do not have a separately purchased Desktop Pro licence, you can continue using Community on desktop. A separately purchased Pro licence and the purchased local features of the iPad app remain available.

7. Failed renewal payments

If a renewal payment fails, Pro + Cloud remains available for 14 days after the end of the last paid period. If payment is not completed, subscription-based features are then suspended. A separately purchased Pro licence is unaffected.

The payment provider may continue attempting to collect payment. Suspension of access does not cancel the subscription or automatically extinguish existing payment obligations. The relevant features are restored once payment is confirmed.

This additional access period does not apply where a subscription has been cancelled to end at the close of its term. It is not added to the offline period described in section 3.

8. Cloud data

You retain your rights to uploaded measurement data. You allow us to store and process that data only to the extent necessary to provide the agreed services.

After the end of the paid or expressly granted free Pro + Cloud period, the following rules apply to stored cloud measurement logs:

  • Existing logs remain available for reading for the first six months.

  • They are then hidden and retained for a further six months.

  • If you reactivate Pro + Cloud within those twelve months, logs that have not been deleted become accessible again.

  • After twelve months, the logs are deleted from the active system.

You cannot create new cloud logs without an active Pro + Cloud entitlement. Creating new logs remains possible during the additional access period for failed payments described in section 7. That period does not postpone the start of the retention periods above. If renewal succeeds, those retention periods apply again only after the renewed entitlement expires.

You may delete data earlier or have it deleted as part of account deletion. Backup copies are subject to the deletion periods described in our Privacy Policy.

Keep separate copies of data that is important to you before it is deleted. Your statutory rights to retrieve content and our responsibility to provide the agreed data storage remain unaffected.

9. Updates, availability and measurements

Please check the stated system requirements before purchasing. We provide updates required by law, including security updates, and inform you when they are available. This does not create an entitlement to additional products or features offered separately.

Maintenance and technical faults may temporarily affect the availability of online services. Where possible, we provide advance notice of planned maintenance with a significant impact. Your statutory rights in the event of service failures remain unaffected.

Measurement results also depend on microphones, audio hardware, calibration, settings and measurement conditions. You are responsible for using a measurement setup suitable for your intended purpose. The software alone does not replace any required calibration or legally required testing or certification of the complete measurement chain.

10. Withdrawal, refunds and statutory remedies

Consumers retain their statutory withdrawal rights and remedies for defective products or services. Details about withdrawal and refunds are provided in our Refund Policy and in the information supplied by the relevant seller when you purchase.

Accepting these terms or creating an account does not by itself waive a right of withdrawal. Any early expiry of that right requires the applicable legal conditions to be met.

For technical problems, missing activations or features that do not work correctly, contact alex@opensoundmeter.com. Your statutory claims against the relevant contracting party remain unaffected.

If a purchase is fully reversed, the associated entitlement ends. Other entitlements purchased independently remain valid.

11. Misuse and suspension

You must not use our services for unlawful content, unauthorised access or attacks on our systems.

In the event of a material breach of contract, we may temporarily suspend affected access to the extent necessary or terminate the affected agreement for good cause. Where reasonable and legally required, we will inform you first and give you an opportunity to remedy the breach. Immediate suspension may be necessary, particularly where there is an imminent threat to system security.

A temporary suspension will be lifted once its grounds no longer apply. Mandatory statutory rights remain unaffected.

12. Liability

Our liability is unlimited in cases of intent or gross negligence, culpable injury to life, body or health, liability under the German Product Liability Act, and to the extent of any guarantee we expressly provide.

In cases of ordinary negligence, we are liable for breaches of essential contractual obligations that enable proper performance of the agreement and on which you may ordinarily rely. Such liability is limited to the foreseeable loss typical of the contract at the time it was entered into.

Otherwise, liability for ordinary negligence is excluded. These limitations also apply to our legal representatives and persons acting on our behalf in performing the agreement. Mandatory statutory liability remains unaffected.

13. Privacy

Our Privacy Policy explains how we process personal data. Accepting these terms does not constitute consent to optional advertising or analytics.

14. Governing law

The contractual relationship with Ehrenaudio is governed by German law, excluding the United Nations Convention on Contracts for the International Sale of Goods. Consumers retain the protection of mandatory laws of their country of habitual residence.

For merchants within the meaning of German commercial law, legal entities under public law and special funds under public law, the place of jurisdiction is Cologne. Statutory jurisdiction rules apply to consumers.
